When you’re preparing to hire a business broker or investment banker, it’s easy to focus on fees and other financial terms of the engagement. While those items are extremely important, they’re not the whole story. The success of the engagement, and ultimately your exit from your company, will often depend on non-financial factors that influence how well your advisor can represent you and your business through a successful transaction. Choosing the right professional is about more than just cost – it’s about experience, industry knowledge, network, reputation, collaboration, and trust.

Experience and Industry Knowledge

Experience should always be at or near the top of your list. When working to decide which professional you will engage, look for someone who has successfully guided clients through deals similar to yours. If your business has regulatory challenges or multiple entities, make sure your broker has successfully navigated these situations before. Ask for examples of past engagements and how they navigated obstacles.  This insight will help you gauge their ability to manage your process effectively. 

Industry knowledge is another critical factor. A broker who truly understands your business can speak the language, highlight what matters most to buyers, and position your business strategically. Someone with industry specific experience will be in a better position to  anticipate and proactively hep you navigate challenges before they become roadblocks. It’s worth asking if they’ve worked in your industry recently, as markets can evolve quickly and current experience is key.

Network and Reputation

Access to the right network can also make a big difference. A well-connected banker can earn their weight in gold by bringing opportunities and competitive offers to the table from his or her network. It is key to understand whether they have relationships with private equity firms, family offices, and strategic buyers, and if they reach beyond local markets if needed. Reputation and referrals matter too. As part of your engagement diligence, be sure to speak with other business owners who have worked with the professionals you’re considering. These steps help you confirm credibility and reliability before you commit.

Collaboration

Collaboration is another key consideration. The process to review, analyze, market and sell your business can take many months.  Throughout this process, your broker will need to work closely with your attorney, accountant, and other professional advisors. Good communication and respect for each professional’s role are essential. Each business transaction has its own nuances and stressors, which can include, among other things, keeping the various professional service providers on the same page. The best bankers are the ones who take a collaborative approaching to keeping everyone aligned, solution oriented, with eyes towards a closing. 

Trust

Finally, think about cultural fit and trust. You’ll be sharing sensitive information and making important decisions together, so it’s crucial to feel comfortable with your broker. Do they understand your priorities beyond just closing the deal and purchase price - such as preserving long-term relationships with vendors and customers, taking care of your employees, legacy, etc.? Likewise, bankers will be negotiating business terms on your behalf for what could be the largest transaction of your career. Integrity and commitment are non-negotiable, and you should feel confident that you’re well represented, and are a valued client, not just another engagement.

Hiring a broker or banker will be one of the most significant steps in your business exit journey. While financial terms matter, these non-financial factors often determine whether your engagement is productive and as stress-free as possible (because let’s be honest – deal fatigue is a real thing). Take the time to ask questions, check references, and choose a partner who aligns with your vision. The right advisor will help you achieve not only a successful transaction but also peace of mind throughout the process.
